If I write a PHP-Script to do some work on my Server, which should be startet by Batch-File, autostart, registry..., allways the DOS-Box opens. In PERL(activstate)there is a special wperl.exe which starts Script without DOS-box(perl.exe is the same as php.exe and php-cli.exe). Would be nice to have something like this for php, perhaps a special option for php-cli.exe.

Such a wrapper was already made by php-gtk project. Have a look at http://gtk.php.net/
