With PHP4.0.1 release, during the Apache 1.3.12 recompile with --activate-module, generates the following:
Undefined Symbol first referenced
php_if_stat64 module/php4/libphp4.a(basic_functions.o)
php_if_lstat64 module/php4/libphp4.a(basic_functions.o)
ld: fatal: Symbol referencing errors. No output written to httpd

php-4.0.1 Config:
./configure --includedir=/usr/local/include --libdir=/usr/local/lib --with-apache=/opt/apache/1.3.12 --enable-track-vars --enable-calendar --enable-ftp --enable-trans-sid --with-jpeg-dir=/usr/local/lib --with-zlib-dir=/usr/local/lib --with-png-dir=/usr/local/lib --with-pdflib=/usr/local/lib --with-mysql=/opt/mysql

apache_1.3.12 Config:
./configure --prefix=/opt/apache/1.3.12 --includedir=/usr/local/include --activate-module=src/modules/php4/libphp4.a

Compiler gcc-2.95.2
Solaris 7 (SunOS5.7 - 64bit Support)
Sparc (Ultra5) Platform

Please verify that it?s still happening using the latest version of PHP (release 4.0.1pl2 or CVS).

I really don?t know if it has sth to do with it, but there has been a 64bit fix/hack on the list... if it still occurs you should search the archive for that fix and see if it fitx your case...
