When compiling i get this (successful lines removed):

# make
/opt/apache/bin/apxs -c -o libphp3.so  -I. -I.  ./mod_php3.c libmodphp3-so.a -L/usr/local/lib                               -lm -ldl -lsocket -lnsl  -lresolv 
gcc -DSOLARIS2=251 -DUSE_EXPAT -I../lib/expat-lite -fpic -DSHARED_MODULE -I/opt/apache/include -I. -I.  -c ./mod_php3.c
gcc q(-shared) -o libphp3.so ./mod_php3.o libmodphp3-so.a -L/usr/local/lib -lm -ldl -lsocket -lnsl -lresolv 
sh: syntax error at line 1: `(' unexpected
apxs:Break: Command failed with rc=131072
make: *** [libphp3.so] Error 1
# 

This was configured with this line:
./configure --with-apache=/opt/apache_1.3.9 --with-apxs=/opt/apache/bin/apxs

I was sure to edit the appropriate apxs file accordingly:

my $CFG_LIBS_SHLIB    = '';        # substituted via Makefile.tmpl
my $CFG_PREFIX        = '/opt/apache';            # substituted via APACI install
my $CFG_SBINDIR       = '/opt/apache/bin';           # substituted via APACI install
my $CFG_INCLUDEDIR    = '/opt/apache/include';        # substituted via APACI install
my $CFG_LIBEXECDIR    = '/opt/apache/libexec';        # substituted via APACI install
my $CFG_SYSCONFDIR    = '/opt/apache/conf';        # substituted via APACI install
