I have php 3.0.7 compiled as an apache module. The httpd.conf has 324 VirtualHosts. If I remove most of them, then php works correctly. PHP as a CGI works without any problems. 

php is built as : ./configure --with-apache=../apache_1.3.4 --prefix=/export/php3 --with-pgsql=/export/pgsql --enable-track-vars

apache is built with the standard module + Mod_Rewrite and (obviously) php.
