I am installing on MacOS X (the release version, not the 
beta), using ./configure --with-apxs.

The configure goes fine, except there is a warning:
creating pear/pear
rm: pear/pear: is a directory

The make completes without error.

Make install fails:
cp: pear is a directory (not copied).
make[2]: ***[install-programs] Error 1

I reran the whole thing with a newly downloaded copy of 
php4.0.4pl1, and got the identical behaviour.

AFAIK, this is already fixed in CVS. Try latest snapshot from http://snaps.php.net/ to verify.
