There was a bug in mkdir() which itself manifested itself first on FreeBSD but which had been fixed in HEAD already. Please give http://snaps.php.net/php4-latest.tar.bz2 a try, I believe the bug is fixed there.

This bug has been fixed in CVS. You can grab a snapshot of the
CVS version at http://snaps.php.net/. In case this was a documentation 
problem, the fix will show up soon at http://www.php.net/manual/.
In case this was a PHP.net website problem, the change will show
up on the PHP.net site and on the mirror sites.

After compiling snapshot php4-200207090000 it works fine :)
Time for a bug-fixing-release, as current releases of PHP don't work on Tru64 (See also #17449)? File-Functions and Array-Functions are essential functions in my eyes.
